** Sabadell's SABE.MC board rejected a merger proposal by larger rival BBVA BBVA.MC for a 12 billion euro ($12.93 billion) all-share merger, the Spanish lender said. nL1N3H90CW
** Abu Dhabi National Oil Company [RIC:RIC:ADNOC.UL] has terminated talks to buy a controlling stake in Braskem BRKM5.SA, the Brazilian petrochemical producer said, driving its shares down almost 15%. nL1N3H90W5
** Walt Disney DIS.N and Comcast CMCSA.O are seeking to hire a financial adviser to resolve a dispute over how to value the 33% stake in streaming platform Hulu that the former will acquire from the latter, according to people familiar with the matter. nL4N3H67LT
** The battle for debt-laden IT consulting firm Atos pits Czech billionaire Daniel Kretinsky against French businessman David Layani, indicative offers, presenting widely different tactics to strengthen the company's finances. nL8N3H90KL
** Italy's HModa, which groups Italian luxury clothing and leather goods manufacturers, is exploring strategic options for the company as it anticipates a sector rebound in 2025, its owner told Reuters. nL5N3GS516
** Synopsys SNPS.O said it would sell its software integrity (SIG) unit to a private-equity group led by Clearlake Capital and Francisco Partners in a $2.1 billion deal, as it shifts its focus towards the AI chips market. nL4N3H91ZB
** The European Union cleared U.S. Steel's X.N $14.9 billion buyout by Japan's Nippon Steel 5401.T, allaying competition concerns from a deal that has drawn political opposition in the United States. nL4N3H91U0
** U.S. utility Allete ALE.N said that it had agreed a deal with investment firms Global Infrastructure Partners and CPP Investments to be taken private at a $6.2 billion valuation, inclusive of debt. nL4N3H91GR
** Canada's Brookfield Asset Management BAM.TO will invest about $1.5 billion in U.S.-based private credit manager Castlelake, the companies said. nL4N3H91H9
** Energy giant Shell is in talks with Saudi Arabia's state-owned Saudi Aramco to sell its gas station business in Malaysia, the second-largest such network in the country, four industry sources aware of the discussions said, and a deal could be worth up to $1 billion. nL3N3GY0NX
** Czech billionaire Daniel Kretinsky, French investor David Layani, and a consortium of banks have all filed bids to restructure the debt of French IT company Atos, it said on Monday, adding it had already rejected an offer from Bain Capital. nL8N3H90KL
** Quadria Capital said it has invested $102 million in India's largest dialysis chain NephroPlus, picking up a minority stake in the company as the Asia-focussed private equity firm keeps investing in regional healthcare providers. nL4N3H913I
** Sabadell's SABE.MC board was meeting to discuss an all-share offer from larger Spanish bank BBVA BBVA.MC that was worth around 12 billion euros ($12.9 billion) when announced last week, two sources familiar with the matter said. nL1N3H90CW
** Global investment firm KKR KKR.N will buy Indian medical devices maker Healthium Medtech HEAT.NS from UK-based Apax Partners in a deal that three sources with direct knowledge of the matter say is valued at 70 billion rupees ($838.60 million) nL4N3H90S8
