Brazil's Eneva to conclude share issue and acquisition of power assets by end of Q4

SAO PAULO/RIO DE JANEIRO, July 16 (Reuters) -Brazilian energy company Eneva ENEV3.SA expects to conclude a deal with BTG Pactual bank to acquire thermal power assets and afollow-on public share offering of up to 4.2 billion reais ($770.9 million) by the end of the year, the firm's CEO Lino Cancado said on Tuesday.
The deals would boost Eneva's annual net revenue by 25%, to 12.6 billion reais, and its adjusted earnings before interest, taxes, depreciation and amortization (EBITDA) by 41%, to 6.1 billion reais, according to the company.
"We hope that by the end of the year the assets will already be incorporated into Eneva's portfolio, and the follow-on operation will have been completed satisfactorily," Cancado told investors during a call.
The follow-on offering will be priced at 14 reais per share for an initial total of 3.2 billion reais, with the possibility of a further issue amounting to 1 billion reais, Eneva said.
The power company said the proceeds will be used to "accelerate the implementation" of its business plan and long-term strategy, including greenfield and brownfield projects in energy generation auctions, exploratory campaigns, investments in the off-grid gas market and possible M&A activity.
Lenders BTG Pactual - one of Eneva's main shareholders with a 23.3% stake -, Itau BBA and Bradesco are coordinating the follow-on offer.
The deal for thermoelectric plants belonging to BTG and BTG-backed investment funds relates to the Tevisa, Povoacao, Gera Maranhao and Linhares power stations. These assets, contracted at government energy auctions, have fixed revenue and no significant investment obligations.
Three of the assets are located in the Espirito Santo state, creating a cluster for the firm, said Felippe Valverde, head of investors relations.
"It diversifies the company's geographic presence to a new market, the southeast and midwest" of Brazil, Valverde told investors.
Eneva said it sees an opportunity to renew contracts for 148 megawatts (MW) of capacity for some of these thermoelectric plants when they expire in December 2025.
Eneva is one of the largest investors in Brazil's natural gas sector, with business in onshore gas exploration and thermoelectric power. Its plants currently havemore than 6 GW of installed capacity, which couldreach more than 7 GW under the deals signed with BTG.
