CommScope to sell some business units to Amphenol for $2.1 bln

July 18 (Reuters) -CommScope COMM.O will sell its outdoor wireless network and its distributed antenna systems businesses to Amphenol APH.N for $2.1 billion in cash, the U.S. network infrastructure provider said on Thursday.
Shares of CommScope jumped 14%, while Amphenol rose 2%.
CommScope has been selling assets to pare down its long-term debt of $9.24 billion, as of March. The firm completed the sale of its home networks business to French technology company Vantiva for $100 million in cash at the start of the year.
The company said in May it had used $178 million of its free cash flow from operations, compared with the use of $46.1 million a year ago.
After its latest divestiture is completed, the company would be left with its connectivity and cable solutions, access network solutions and a portion of its networking and security services.
CommScope's wireless network provides infrastructure for mobile networks, while its antenna systems unit provides services for cellular infrastructure inside venues, campuses and enterprises.
Amphenol CEO Adam Norwitt said the company, which makes connectors and sensor systems used in industrial and defense applications, would take on CommScope's about 4,000 employees.
The combined businesses are expected to have 2024 sales and EBITDA margins of about $1.2 billion and 25%, respectively, Amphenol said.
The acquisition is also expected to boost Amphenol's diluted earnings per share in the first full year after closing, likely within the first half of 2025.
The company expects to finance the acquisition through a combination of cash on hand and debt.
Moelis & Co is the financial adviser to CommScope, while Goldman Sachs is advising Amphenol.
