CO AND DELEN FAMILY CONFIRM THEIR LONG-TERM PARTNERSHIP WITH UPDATED SHAREHOLDER ARRANGEMENTS IN RESPECT OF DELEN PRIVATE BANK AND BANK J. VAN BREDA & CO
EXTENDING THEIR AGREEMENTS FOR 25 YEARS
DELEN FAMILY WILL BE GIVEN A STRONGER RIGHT TO REQUEST TO TRANSFER ALL OR PART OF THEIR ITS SHARES IN THE BANKS
PRICE FOR THE SHARES WILL BE BASED ON A REFERENCE VALUE
AGREEMENTS WILL ALSO BE AMENDED TO ALLOW FOR INCREASED DIVIDEND DISTRIBUTIONS TO THE COMPANY AND THE DELEN FAMILY
IF THE SHARES ARE NOT ACQUIRED BY THE COMPANY, DELEN FAMILY IS ENTITLED TO TRANSFER THE TO A THIRD PARTY
THE COMPANY HAS A PRE-EMPTION RIGHT ON SUCH SHARES, AT A POTENTIAL PREMIUM
